Terms of Service

1. Who can use the Service

The Service is provided to trucking companies and other logistics operators ("Customers") under a separate order or agreement with Aeon TMS. Individual accounts ("Users") are provisioned by a Customer's administrator; there is no public self-registration. You must be authorized by a Customer to use the Service on its behalf.

2. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable transportation, employment, or privacy law;
• Attempt to access accounts, data, or systems you are not authorized to access;
• Interfere with or disrupt the integrity or performance of the Service;
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law; or
• Use the Service to send unsolicited communications in violation of the TCPA or similar law.

3. Compliance disclaimer

Aeon TMS provides tools to help track driver qualification, safety, and compliance-related data. Aeon TMS does not replace a Customer's obligation to comply with FMCSA, DOT, or other applicable federal, state, and local regulations. Customers remain solely responsible for their own regulatory compliance, and for verifying the accuracy and completeness of any data used for that purpose.

4. Communications, recording, and payroll banking

Use of the Service's calling and messaging features (provided via Telnyx) and, where enabled, bank account verification for payroll direct deposit (provided via Plaid), is subject to our Privacy Policy, including its description of call recording, transcription, SMS opt-out, and Telnyx's and Plaid's respective privacy policies. By using these features, you consent to the practices described there.

5. Third-party services

The Service integrates with third-party providers — including Telnyx (telephony and SMS), Plaid (payroll bank verification), background screening providers, mapping/navigation, and cloud infrastructure providers — to deliver its functionality. We are not responsible for the acts or omissions of independent third-party providers, though we select and monitor them as part of operating the Service.

6. Intellectual property

Aeon TMS and its licensors retain all rights, title, and interest in the Service, including its software, design, and trademarks. These Terms grant Customers and Users a limited right to use the Service as provisioned — no ownership interest is transferred.

7. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEON TMS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE SERVICE. Nothing in these Terms limits liability where such limitation is not permitted by applicable law.

8. Termination

Access to the Service is governed by the underlying agreement between Aeon TMS and the applicable Customer. We may suspend or terminate a User's access if these Terms are violated or as directed by the Customer that provisioned the account.

9. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the date at the top of this page.
